1. Terms
By accessing the website at www.atom11.co (owned by Elevenatom Solutions Private Limited), you are agreeing to be bound by these terms of service, all applicable laws, and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.
2. License and intellectual property
2.1 All Intellectual Property Rights in anything we supply are our property, or the property of our third-party licensors, and will not transfer to you by Contract.
2.2 We grant you a non-transferable, non-exclusive, non-assignable, revocable, world-wide, royalty free limited license, without the right of sub-license, to access and use the Services and Deliverables for your own internal purposes during the term of the Contract.
2.3 We acknowledge that your Customer Material is your property and that you own all Intellectual Property Rights in and to the same subject to the licenses granted us as part of a Contract. Customer Material is anything that you provide to us to enable us to perform our obligations pursuant to a Contract including without limitation the Customer IP
2.4 You agree that we (including our Affiliates) may freely use any data (including the Customer Materials) which we learn, acquire or obtain in connection with the performance of a Contract to improve the quality of our respective services and deliverables.
This license shall automatically terminate if you violate any of these restrictions and may be terminated by Atom11 at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
3. Payment
3.1 Billing:
3.1.1 In consideration for the Services and Deliverables, you will pay us the Fees set out in a Contract and unless otherwise agreed in writing as part of a Contract, we will invoice you for the Fees on a monthly basis.
3.1.2 Atom11 may offer the Service through a variety of billing methods, which include, but are not limited to, one-time subscriptions, monthly recurring subscriptions, and annual recurring subscriptions (“Subscription”).
3.1.3 Atom11 will bill you on the date you subscribe to the Service (“Subscription Date”), and will continue to bill you in accordance with your selected Subscription until you cancel the Service. Fees will be billed to your Payment Method on the calendar day corresponding to the Subscription Date.
3.1.4 Subscription fees are fully earned upon payment. In some cases your payment date may change, for example if your Payment Method has not successfully settled or if your Effective Date began on a day not contained in a given month.
3.1.5 You are not entitled to set-off any amount we owe you against any amount you owe us.
3.1.6 A party may charge the other interest on any late payments. Interest accrues each day from the original due date for payment until the actual date the overdue amount is paid at a rate equal to the lesser of 1.5% per month and maximum rate permitted by applicable law.
3.1.7 Following the first anniversary of the Start Date, but not more than once in each year of a Contract, we may automatically increase any fees by an amount not exceeding the lower of (i) the percentage increase in the Applicable Price Index in the preceding year plus 5% and (ii) the maximum amount permitted by law.
3.2 Payment Methods.
3.2.1 To use the Service you must provide one or more Payment Methods. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the we may charge you certain fees relating to the processing of your Payment Method. Check with your Payment Method service provider for details.
3.3 Cancellation.
3.1.1 You can cancel your membership at any time, and you will continue to have access to the Service through the end of your pre-paid billing cycle. You must cancel your Subscription at least one day prior to the next billing date to avoid a Subscription renewal.
3.1.2 We do not provide refunds or credits for any partial membership periods.
3.1.3 To cancel, please write to us at ask@atom11.co. If you cancel your membership, your account will automatically close at the end of your current billing period.
4. No Refunds.
4.1 Payments are nonrefundable and there are no refunds or credits for partially used periods. Following any cancellation, however, you will continue to have access to the service through the end of your current billing period.
5. Disclaimer
5.1 Atom11 does not make any explicit or implied warranties and explicitly denies any other warranties, including but not limited to, implied warranties or conditions of merchantability, suitability for a particular purpose, or non-infringement of intellectual property or other rights violations.
5.2 Further, Atom11 does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.
6. Limitations
6.1 Atom11 and its suppliers are not liable for any damages, including but not limited to loss of data or profit, or business interruption, resulting from the use or inability to use the materials on Atom11’s website. This also applies if Atom11 or an authorized representative has been informed, either orally or in writing, about the potential for such damage. Some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, hence this may/ may not apply to you.
7. Accuracy of materials
The materials found on Atom11's website might contain technical, typographical, or photographic errors. Atom11 does not guarantee the accuracy, completeness, or currency of any materials on its website. Atom11 reserves the right to modify the materials on its website without prior notice. However, Atom11 is under no obligation to update these materials.
8. Links
8.1 Atom11 has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Atom11 of the site. Use of any such linked website is at the user’s own risk.
9. Modifications
9.1 Atom11 may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.
10. Governing Law
10.1 These terms and conditions are governed by and construed in accordance with the laws of India and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
